Co-ops & Condos

The team at WBB is skilled in all aspects of cooperative and condominium law.  Our extensive experience in this field has earned us a large clientele of co-ops and condos, as well as many individual apartment owners.

We guide Boards in all matters of corporate governance, including review and negotiation of contracts, mortgage refinancing, election disputes, review and analysis of corporate governing documents, alterations, construction and owner issues. We also act as transfer agent for cooperatives, represent sellers or buyers in individual purchases in a co-op or condo, and assist co-ops and condos when issues arise in connection with a sale (including negotiation of trust and estate documents, assignment of alteration agreements or other transfer rights).

Our team is comprised of highly experienced attorneys who have successfully litigated cases for our co-op and condo clients, as well as for individual shareholders and unit owners.  Our cases include: complaints arising from construction defects in large residential cooperatives and condominiums, intra-shareholder disputes, noise complaints, constructive eviction and breach of warranty of habitability arising out of leaks or other damage to the apartment, disputes surrounding corporate governance and election law, challenges to by-laws and other corporate documents, challenges to corporate actions in Article 78 proceedings, preliminary injunction and declaratory judgment actions, condominium lien foreclosures, arbitration and mediation, housing discrimination, zoning and land use issues, commercial and residential landlord/tenant matters (including non-payment and holdover proceedings), “Yellowstone” motions and “Pullman” terminations, regulated housing issues (including Mitchell-Lama and Section 213 housing), succession rights claims; rent control and rent stabilization disputes.

Real Estate / Corporate

WBB represents clients in the purchase and sale of co-op and condo units, as well as multi-family and single-family homes throughout the Metropolitan area. We also handle residential and commercial leasing, negotiation of construction contracts and alteration agreements, zoning and land use, purchase and sale of development rights, negotiation of financial commitments with institutional lenders, adjacent property disputes, and negotiation of access agreements with adjoining landowners.

We negotiate and prepare all types of contracts and agreements, including sale of corporate assets, stock transfers, operating agreements, shareholder agreements, partnership agreements, employment agreements, and others.  WBB has represented owners of entities, partners, and/or principals. and has successfully navigated complex commercial litigation involving disputes over ownership interests and other corporate matters.

WBB also represents both landlords and tenants in lease disputes, non-payment and holdover proceedings, lease termination, Yellowstone motions, Pullman actions and HP proceedings. We have guided our clients to ensure compliance with the new tenant rent protection laws, which also apply to cooperatives.

The team at WBB has negotiated some of the largest buy-outs of tenant leases in the City. We bring to the table a wealth of knowledge of how landlords and developers calculate the value of a lease buyout, and have been able to negotiate effectively to maximize the value for the tenant. We have been acknowledged by landlords’ attorneys as advocates who can fight for and obtain top dollar for the tenant.

Let us help you determine how much is enough.
